Agreement between You and Mother’s Day Magazine

The www.mothersdaymagazine.com website (the “Site”) is comprised of various web pages operated by Mother’s Day Magazine. www.mothersdaymagazine.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Mother’s Day Magazine and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

Mother’s Day Magazine does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use www.mothersdaymagazine.com only with permission of a parent or guardian.

Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of Mother’s Day Magazine and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Mother’s Day Magazine or our licensors except as expressly authorized by these Terms.

Digital Millennium Copyright Act (“DMCA”)

Mother’s Day Magazine respects the intellectual property rights of others. Per the DMCA, Mother’s Day Magazine will respond expeditiously to claims of copyright infringement on the Site if submitted to Mother’s Day Magazine’s Copyright Agent as described below. Upon receipt of a notice alleging copyright infringement, Mother’s Day Magazine will take whatever action it deems appropriate within its sole discretion, including removal of the allegedly infringing materials and termination of access for repeat infringers of copyright protected content.

If you believe that your intellectual property rights have been violated by Mother’s Day Magazine or by a third party who has uploaded materials to our website, please provide the following information to the designated Copyright Agent listed below:

  1. A description of the copyrighted work or other intellectual property that you claim has been infringed;

  2. A description of where the material that you claim is infringing is located on the Site;

  3. An address, telephone number, and email address where we can contact you and, if different, an email address where the alleged infringing party, if not Mother’s Day Magazine, can contact you;

  4. A statement that you have a good-faith belief that the use is not authorized by the copyright owner or other intellectual property rights owner, by its agent, or by law;

  5. A statement by you under penalty of perjury that the information in your notice is accurate and that you are the copyright or intellectual property owner or are authorized to act on the owner’s behalf;

  6. Your electronic or physical signature.

Mother’s Day Magazine may request additional information before removing any allegedly infringing material. In the event Mother’s Day Magazine removes the allegedly infringing materials, Mother’s Day Magazine will attempt to notify the person responsible for posting such materials that Mother’s Day Magazine removed or disabled access to the materials. Mother’s Day Magazine may also provide the responsible person with your email address so that the person may respond to your allegations.

Mother’s Day Magazine reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Mother’s Day Magazine’s sole discretion. You agree to pay all royalties, fees and any other monies owed to any person because of the Submission posted by you. You retain sole authorship responsibility for any Submission you post, upload or embed in Mother’s Day Magazine regardless of whether Mother’s Day Magazine modifies your Submission (including if we anonymize such content).

The Service is controlled, operated and administered by Mother’s Day Magazine from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. Mother’s Day Magazine reserves the right, at our own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims.

  1. Limitation of Liability and Damages

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL MOTHER’S DAY MAGAZINE OR ITS AFFILIATES, CONTENT AUTHORS, LICENSORS, CONTRACTORS, EMPLOYEES, AGENTS OR THIRD PARTY PARTNERS OR SUPPLIERS, BE LIABLE TO YOU FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES THAT RESULT FROM YOUR USE OR THE INABILITY TO USE THE MOTHER’S DAY MAGAZINE MATERIALS ON THE SERVICES, THE SERVICES THEMSELVES, OR ANY OTHER INTERACTIONS WITH MOTHER’S DAY MAGAZINE, EVEN IF MOTHER’S DAY MAGAZINE OR A MOTHER’S DAY MAGAZINE-AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, MOTHER’S DAY MAGAZINE’S LIABILITY WILL BE LIMITED TO THE EXTENT PERMITTED BY LAW. IN NO EVENT SHALL MOTHER’S DAY MAGAZINE OR ITS AFFILIATES, CONTENT AUTHORS, LICENSORS, CONTRACTORS, EMPLOYEES, AGENTS, OR THIRD PARTY PARTNERS OR SUPPLIERS’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES (WHETHER IN CONTRACT, TORT, WARRANTY OR OTHERWISE) EXCEED FIVE U.S. DOLLARS ($5).THESE LIMITATIONS SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF ANY PRODUCTS OR SERVICES SOLD OR PROVIDED TO YOU BY THIRD PARTIES OTHER THAN MOTHER’S DAY MAGAZINE AND RECEIVED BY YOU THROUGH OR ADVERTISED ON THE SERVICES OR RECEIVED BY YOU THROUGH ANY LINKS PROVIDED ON THE SERVICES.

  1. Agreement to Arbitrate; Waiver of Class Action; Small Claims Court

Except if you opt-out or for disputes relating to your or our intellectual property (such as trademarks, trade dress, domain names, trade secrets, copyrights and patents), you agree that all disputes between you and Mother’s Day Magazine (whether or not such dispute involves a third party) arising out of or relating to these Terms, our Services, and/or our Privacy Policy shall be resolved by arbitration before a single arbitrator (in English) in Contra Costa County, California under the Commercial Arbitration Rules of the American Arbitration Association (AAA), and you and Mother’s Day Magazine hereby expressly waive trial by jury. You and Mother’s Day Magazine shall appoint as sole arbitrator a person mutually agreed to by you and Mother’s Day Magazine. If you and Mother’s Day Magazine cannot agree within thirty (30) days of either party’s request for arbitration, the AAA will select a single arbitrator at the request of either party. The parties shall bear equally the cost of the arbitration (except that the prevailing party shall be entitled to an award of reasonable attorneys’ fees incurred in connection with the arbitration in such an amount as may be determined by the arbitrator). All decisions of the arbitrator shall be final and binding on both parties and enforceable in any court of competent jurisdiction. Notwithstanding this, application may be made to any court for a judicial acceptance of the award or order of enforcement. Under no circumstances shall the arbitrator be authorized to award damages, remedies or awards that conflict with these Terms. Any claims brought by you or Mother’s Day Magazine must be brought in that party’s individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Neither you nor Mother’s Day Magazine shall participate in a class action or class-wide arbitration for any claims covered by these Terms. You hereby waive any and all rights to bring any claims related to these Terms and/or our Privacy Policy as a plaintiff or class member in any purported class or representative proceeding. You may bring claims only on your own behalf. You may opt out of this Agreement To Arbitrate. If you do so, neither you nor Mother’s Day Magazine can require the other to participate in an arbitration proceeding. To opt out, you must notify Mother’s Day Magazine in writing within thirty (30) days of the date that you first became subject to this arbitration provision. The opt-out notice must state that you do not agree to the Agreement To Arbitrate and must include your name, address, phone number, e-mail address, and a clear statement that you want to opt out of this Agreement To Arbitrate. You must send this opt-out notice to hello@mothersdaymagazine.com with “Arbitration Opt-Out” in the subject line. Notwithstanding any provision in these Terms to the contrary, you and Mother’s Day Magazine agree that if Mother’s Day Magazine makes any change to the Arbitration Procedures (other than a change to any notice address or site link provided herein) in the future, that change shall not apply to any claim that was filed in a legal proceeding against Mother’s Day Magazine prior to the effective date of the change. Moreover, if Mother’s Day Magazine seeks to terminate the Arbitration Procedures from these Terms, such termination shall not be effective until thirty (30) days after the version of these Terms not containing the Arbitration Procedures is posted to our Site and shall not be effective as to any claim that was filed in a legal proceeding against Mother’s Day Magazine prior to the effective date of removal. In accordance with Section 17 (Survival), this Arbitration Section will survive the termination of your relationship with Mother’s Day Magazine.

Small Claims Court. Notwithstanding anything herein to the contrary, each party retains the right to pursue in Small Claims Court any dispute within that court’s jurisdiction. Further, this arbitration provision shall apply only to disputes in which either party seeks to recover an amount of money (excluding attorneys’ fees and costs) that exceeds the jurisdictional limit of the Small Claims Court.

  1. Violations; Termination

You agree that Mother’s Day Magazine, in its sole discretion and for any or no reason, may terminate any account (or any part thereof) you may have with us or your use of our Services, at any time. Mother’s Day Magazine may also, in its sole discretion and at any time, discontinue providing access to our Services, or any part thereof, with or without notice. You agree that any termination of your access to our Services or any account you may have or portion thereof may be implemented without prior notice. You also agree that Mother’s Day Magazine shall not be liable to you or any third party for any such termination. Mother’s Day Magazine does not permit copyright infringement. As such, we reserve the right to terminate access to our Services, and remove all content submitted by any repeat infringers. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination of your use of our Services may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies Mother’s Day Magazine may have at law or in equity. You may terminate this agreement at any time by ceasing to access our Services.

  1. Survival

In the event of any termination or expiration of these Terms, accrued obligations and the following Sections survive: 1, 2, 4, 6, 7, 8, 9, 11, 12, 13, 14, 15, 16, 17, 18, 19

  1. Miscellaneous
  • Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.
  • Jurisdiction. Subject to Section 15 (Agreement to Arbitrate; Waiver of Class Action; Small Claims Court), you agree that any action at law or in equity arising out of or relating to these Terms or our Services shall be filed only in the state or federal courts in and for Contra Costa County, California and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.
  • Waiver. A provision of these Terms may be waived only by a written instrument executed by the party entitled to the benefit of such provision. The failure of any party at any time to require performance of any provision of these Terms shall in no manner affect such party’s right at a later time to enforce the same. A waiver of any breach of any provision of these Terms shall not be construed as a continuing waiver of other breaches of the same or other provisions of these Terms.
  • Severability. If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
  • Assignment. These Terms and related Guidelines, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Mother’s Day Magazine without restriction.
  • Entire Agreement. This is the entire agreement between you and Mother’s Day Magazine relating to the subject matter herein and shall not be modified except in writing, signed by both parties or by a change to these Terms or Guidelines made by Mother’s Day Magazine as set forth above.
  1. Claims
